We respect the intellectual property rights of our clients. Any materials, data, or information provided by clients remain the property of the client. We will use such materials only as necessary to provide the agreed-upon services.
Ownership of work product created under a service agreement will be determined by the terms of that specific agreement. In the absence of a specific agreement, custom work product created specifically for a client will be owned by the client upon full payment, while general methodologies, tools, and pre-existing materials remain the property of IUHASZ LLC.
We understand the sensitive nature of business information. IUHASZ LLC agrees to maintain the confidentiality of all proprietary and confidential information disclosed by clients in connection with our services. We will not disclose such information to third parties without prior written consent, except as required by law or as necessary to provide the agreed-upon services.

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is valid for a period specified in the service agreement or, if not specified, for 90 days from service completion.
Except as expressly stated in a service agreement, our services are provided on an as-is and as-available basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by law, IUHASZ LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services.
Our total liability for any claims arising out of or related to our services shall not exceed the amount paid by you to IUHASZ LLC for the specific services giving rise to the claim during the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless IUHASZ LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Any disputes arising out of or related to these terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association.
We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website with a new effective date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
These Terms of Service, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and IUHASZ LLC regarding the use of our services and supersede all prior agreements and understandings.
